Item 1.01. Entry into a Material Definitive Agreement.

On August 31, 2022, Vail Holdings, Inc., a Colorado corporation (the “Borrower”) and a wholly-owned subsidiary of Vail Resorts, Inc. (the “Company”), a Delaware corporation, certain subsidiaries of the Company, as guarantors, Bank of America, N.A., as administrative agent, and certain Lenders entered into a Fifth Amendment (the “Fifth Amendment”) to the Eighth Amended and Restated Credit Agreement, dated as of August 15, 2018 (as so amended, and as previously amended, the “Credit Agreement”).

The Fifth Amendment, among other things, (i) extends the maturity date of the Credit Agreement to September 23, 2026, and (ii) replaces the benchmark rate under the Credit Agreement from LIBOR to SOFR (the secured overnight financing rate as administered by the Federal Reserve Bank of New York) as the applicable reference interest rate for the Credit Agreement.
